Quick answer

A company that files AOC-4 or MGT-7 late pays an additional fee of ₹100 for every day of delay, per form, with no upper limit, on top of the normal filing fee of ₹200 to ₹600. An LLP that files Form 8 or Form 11 late pays a multiple of the normal fee that rises with the delay, up to 15 times (30 times for an LLP that is not small) in the first year, and after 360 days a further ₹10 or ₹20 a day, also with no upper limit. The calculator adds these up for every overdue form to the day you file.

Company fees: AOC-4 and MGT-7

The normal fee for each form depends on the authorised share capital. The additional fee for late filing has been ₹100 a day since 1 July 2018.

Authorised share capitalNormal fee per form
Less than ₹1 lakh₹200
₹1 lakh to under ₹5 lakh₹300
₹5 lakh to under ₹25 lakh₹400
₹25 lakh to under ₹1 crore₹500
₹1 crore or more₹600

With an AGM on 30 September, AOC-4 is due by 29 October and MGT-7 or MGT-7A by 28 November. Both carry the daily fee separately, so a year of delay on both forms is about ₹73,000 in additional fees.

LLP fees: Form 8 and Form 11

Since 1 April 2022 the additional fee for LLP forms is a multiple of the normal fee, set by the period of delay (G.S.R. 109(E), 11 February 2022).

The normal fee runs from ₹50 for contribution up to ₹1 lakh to ₹600 above ₹1 crore. Form 11 is due by 30 May and Form 8 by 30 October. See LLP annual compliance.

What else a long default brings

  • Penalties for the default itself, levied separately by the Registrar after adjudication.
  • Director disqualification: three consecutive financial years without financial statements or annual returns disqualifies every director of the company for five years under section 164(2), across all their companies.
  • Strike-off notices: the Registrar can remove a company or LLP that is not carrying on business and not filing.

If the entity is not needed, closing it can cost less than keeping it: see company strike-off and LLP closure. If it is, annual compliance keeps the dates from slipping again.

Frequently asked questions

What is the late fee for AOC-4 and MGT-7?

₹100 for every day of delay for each form, with no upper limit, in addition to the normal filing fee of ₹200 to ₹600 depending on authorised capital. The rate has applied since 1 July 2018.

What is the late fee for LLP Form 8 and Form 11?

A multiple of the normal filing fee that grows with the delay: once the normal fee for up to 15 days, rising to 15 times by 360 days for a small LLP (30 times for others), and after 360 days a further ₹10 a day for a small LLP or ₹20 a day for others.

Is there a maximum late fee?

No. The company daily fee has no cap, and the LLP daily fee after 360 days has none either, which is why dormant entities build up large demands.

Does paying the late fee stop penalties?

No. The additional fee is what the MCA portal charges to accept the form. Penalties for the default itself are separate and can be levied on the entity and its officers after adjudication.

What if the company has not filed for three years?

Every director is disqualified for five years under section 164(2) once three consecutive financial years go unfiled, which also affects their other companies. File the backlog, or consider closing the company if it is not needed.
