Registering a company in Delhi in 2026
A company or LLP with its registered office anywhere in the National Capital Territory of Delhi is incorporated online through the MCA portal: SPICe+ for a private limited company or OPC, and FiLLiP for an LLP. The process is the same as in any other state. What is specific to Delhi is the stamp duty, the Registrar of Companies your company reports to, and a few state registrations after incorporation.
Delhi now has two ROCs. From 16 February 2026 the Ministry of Corporate Affairs split the old ROC Delhi, which also covered Haryana, into three offices. ROC (NCT of Delhi-I) covers the South, Southwest, New Delhi, Southeast and East Delhi districts. ROC (NCT of Delhi-II) covers the Central, West, North, Northwest, Northeast and Shahdara districts. Haryana moved to a new ROC at Chandigarh. Which Delhi ROC your company reports to depends on the district of its registered office.
Stamp duty in Delhi is low. For a company with share capital it is ₹10 on the incorporation form, ₹200 on the MoA and 0.15% of authorised capital on the AoA. With the usual ₹1 lakh of authorised capital that is ₹360 in total, and MCA charges no incorporation fee up to ₹15 lakh of capital. The full breakdown is in the table below.

| ROC (NCT of Delhi-II) | Central, West, North, Northwest, Northeast and Shahdara |

GST registration in Delhi
Delhi's GST state code is 07, the first two digits of every Delhi GSTIN. A business with an office in Delhi and a warehouse in Haryana needs a separate registration in each state. Quarterly (QRMP) filers in Delhi file GSTR-3B by the 24th of the month after the quarter. GST registration costs ₹499 all-in; there is no government fee.
Shops and establishments
An office or shop in Delhi registers with the Delhi labour department under the state's shops and establishments law. Delhi allows 90 days from the start of business to apply. Our shops and establishments guide compares the states.
Professional tax
Delhi does not levy professional tax. A Delhi company with employees in states that do, such as Karnataka or Maharashtra, registers and pays there for those employees. See the professional tax guide.
Which entity to choose
A private limited company is the only option if you plan to raise equity. An LLP costs less to run, and needs no statutory audit while its turnover stays within ₹40 lakh or its contribution within ₹25 lakh. An OPC suits a single founder who wants limited liability. The comparison guide goes through each.
Your first year in Delhi
A private limited company files INC-20A within 180 days of incorporation, appoints its first auditor within 30 days, and files its first annual returns after the first financial year closes. An LLP files Form 11 and Form 8 every year. We set up the calendar for your Delhi ROC on day one. See annual compliance for a private limited company and for an LLP.
