Your compliance checklist
Answer six questions. The list, the next due date for each filing and what it costs to have it done update as you go.
Get all of this handled
Send the list to a chartered accountant and get one written quote for the year, with government fees shown separately.
Send my checklist on WhatsAppA general guide based on the rules for FY 2026-27 and the FY 2025-26 due dates already notified. State licences, sector regulators and one-off event filings are not included. A chartered accountant confirms the list against your facts on the call.
Quick answer
Every private limited company files AOC-4, MGT-7 or MGT-7A, DPT-3 and an income-tax return each year and has its accounts audited, even in a year with no business. An LLP files Form 11 and Form 8. GST, TDS and payroll filings then depend on whether you are registered, what you pay and how many people you employ. The checker above builds your own list from six answers, and the thresholds it uses are set out below.
The thresholds the checker uses
| Rule | When it applies | Read more |
|---|---|---|
| GST registration | ₹40 lakh of turnover for goods, ₹20 lakh for services, lower in a few states | GST registration |
| Tax audit | ₹1 crore of turnover, or ₹10 crore if cash receipts and payments are each within 5%; ₹50 lakh of receipts for professionals | Tax audit limit |
| GSTR-9 and GSTR-9C | GSTR-9 mandatory above ₹2 crore; GSTR-9C as well above ₹5 crore | GSTR-9 due date |
| E-invoicing | Turnover above ₹5 crore in any year since 2017-18 | E-invoicing limit |
| LLP audit | Turnover above ₹40 lakh or contribution above ₹25 lakh | LLP compliance |
| PF and ESI | PF at 20 or more employees; ESI at 10 or more, across India since the Code on Social Security | PF and ESI registration |
| Director KYC | Once every three financial years, by 30 June; next due by 30 June 2028 for directors who filed by March 2026 | DIR-3 KYC |
Dates for the FY 2025-26 accounts
CBDT Circular 07/2026 moved the tax audit report to 21 October 2026 and returns for audit cases and companies to 21 November 2026. For a company that held its AGM on 30 September, AOC-4 is due by 29 October 2026 and MGT-7 or MGT-7A by 28 November 2026. Every date for the year is in our compliance calendar for FY 2026-27.
What the checker does not cover
State licences such as shops and establishment registration, FSSAI, sector regulators such as the RBI for NBFCs, and one-off company events such as a director change or a share allotment, which have their own forms and deadlines; see event-based ROC filing. Professional tax rules differ by state. If any of these apply, mention them when you send your list.
Keep this on your desk.

Frequently asked questions
What compliances does a private limited company have every year?
AOC-4 within 30 days of the AGM, MGT-7 or MGT-7A within 60 days, DPT-3 by 30 June, MSME-1 half-yearly where suppliers are owed for more than 45 days, the income-tax return, the statutory audit and director KYC on its three-year cycle, plus GST, TDS and payroll filings where they apply.
Does a company with no business still have to file?
Yes. A company still needs a statutory audit, still files AOC-4 and its annual return, and still files an income-tax return, even in a year with no turnover. If it will stay inactive, closing it through strike-off can cost less than years of nil filings.
What happens if I miss a filing?
Most MCA forms carry an additional fee for each day of delay, a late GSTR-1 or GSTR-3B costs ₹50 a day (₹20 for a nil return), and income-tax adds interest on unpaid tax. The cheapest fix is almost always to file the overdue form first and deal with the fee then.
Is anything I enter stored?
No. The checklist is worked out in your browser. Nothing is sent to us unless you choose to send it on WhatsApp or through the quote form.
How much does it cost to have all of this done?
It depends on the list. As a guide, annual compliance for a private limited company is ₹4,999 a year, GST returns start at ₹499 a month, and bookkeeping with GST returns included starts at ₹2,999 a month. Send your checklist and you get one written quote for the year.
