Registering a company in Noida in 2026
Noida asks little of a new company: there is no professional tax, and shops and establishments with fewer than twenty employees are outside the state law. The local points are practical. Noida and Greater Noida are run by industrial development authorities, not a municipal corporation, so office space is often held on lease from the authority; the electricity bill comes from PVVNL or, in parts of Greater Noida, NPCL; and a Delhi company moving here needs Regional Director approval because it changes state.
Documents required
From each director or partner: PAN, Aadhaar (or a passport for a foreign national), a recent bank statement or utility bill as address proof, a photograph, and a mobile number and email.
For the Noida registered office: a PVVNL electricity bill (NPCL in parts of Greater Noida) (or a water or gas bill) not more than two months old, a no-objection certificate from the owner and, if the premises are rented, the rent agreement. A residential address in Noida is acceptable.
The complete checklist is on the private limited company registration page.

GST registration in Uttar Pradesh
Uttar Pradesh’s GST state code is 09, the first two digits of every GSTIN registered there. A business with offices or warehouses in more than one state needs a separate registration in each. GST registration costs ₹299 all-in; there is no government fee.
Shops and establishments
Under the Uttar Pradesh shops and commercial establishments law as amended in 2026, shops and establishments with fewer than twenty employees are exempt. Those with twenty or more apply online within six months of starting; registration is granted automatically by the portal and stays valid as long as the establishment exists. Our shops and establishments guide compares the states.
Professional tax
Uttar Pradesh does not levy professional tax, so a Noida company with employees only in the state needs no professional tax registration. Employees in states that levy it are registered there. See the professional tax guide.

Setting up your registered office in Noida
Electricity bill as address proof
Noida is supplied by PVVNL (Paschimanchal Vidyut Vitran Nigam). In Greater Noida, part of the area is supplied by NPCL (Noida Power Company Limited), so the bill for the exact premises decides which one you have. Either way it must be not more than two months old.
Noida is run by development authorities
Noida and Greater Noida are administered by industrial development authorities under the Uttar Pradesh Industrial Area Development Act, 1976, not by a municipal corporation. Commercial plots and buildings are held on lease from the authority, so the owner’s lease terms are worth reading before you take an office in a sector building.
Moving a company from Delhi to Noida
Shifting the registered office from Delhi to Noida is a change of state. It needs a special resolution and Regional Director approval in Form INC-23 under section 13(4) of the Companies Act, 2013; the company then reports to ROC Uttar Pradesh-II at Noida.
Office lease
A lease for a term of more than one year, or one reserving a yearly rent, must be registered under the Registration Act, 1908 at the sub-registrar office for the property.
Meeting us in person
Your filing is handled online by a named professional at LexVerge LLP, with our Delhi office nearby for anything in person.
After incorporation
The company files INC-20A within 180 days and appoints its first auditor within 30 days; the rest of the year-one calendar is in annual compliance for a private limited company and for an LLP.
