Registering a company in Mumbai in 2026

Incorporation happens online, through SPICe+ for a company or OPC and FiLLiP for an LLP, so a Mumbai founder never visits the registrar. Three things are local. The stamp duty, which Maharashtra raised on the articles to 0.3% of authorised capital from 14 October 2024. The registrar, which since 16 February 2026 depends on the district of your address rather than the city name on it. And the office paperwork: most Mumbai offices are taken on leave and licence, which must be registered, and the address proof is a recent bill from one of the city’s four electricity distributors. Maharashtra’s shops act and professional tax follow once you start work.

Documents required

From each director or partner: PAN, Aadhaar (or a passport for a foreign national), a recent bank statement or utility bill as address proof, a photograph, and a mobile number and email.

For the Mumbai registered office: an electricity bill from BEST, Adani Electricity, Tata Power or MSEDCL (or a water or gas bill) not more than two months old, a no-objection certificate from the owner and, if the premises are rented, the registered leave and licence agreement. A residential address in Mumbai is acceptable.

The complete checklist is on the private limited company registration page.

GST registration in Maharashtra

Maharashtra’s GST state code is 27, the first two digits of every GSTIN registered there. A business with offices or warehouses in more than one state needs a separate registration in each. GST registration costs ₹299 all-in; there is no government fee.

Shops and establishments

An office or shop in Mumbai comes under the Maharashtra Shops and Establishments (Regulation of Employment and Conditions of Service) Act, 2017. With ten or more workers it registers online (Form A) within 60 days of starting; with fewer than ten it only files an online intimation (Form F). Both are free services on Aaple Sarkar, and a registration certificate can be taken for up to ten years. Our shops and establishments guide compares the states.

Professional tax

Maharashtra levies professional tax: ₹200 a month and ₹300 in February (₹2,500 a year) for men earning above ₹10,000 a month and women above ₹25,000. The employer takes a PTRC to deduct and pay employees’ tax, and the company itself a PTEC, both free and online on the Maharashtra GST department portal. See the professional tax guide.

State startup support

Maharashtra State Innovation Society (MSInS) is the nodal agency for the state’s startup policy and runs its startup support schemes. Central recognition is separate: see Startup India (DPIIT) registration.

Setting up your registered office in Mumbai

Electricity bill as address proof

SPICe+ needs a utility bill for the registered office that is not more than two months old. Mumbai has four electricity distributors and a bill from any of them works: BEST in the island city, Adani Electricity in the suburbs, Tata Power, whose network runs across both, and MSEDCL in Bhandup and Mulund. Offices in Thane and Navi Mumbai usually have an MSEDCL bill.

Which ROC your locality falls under

LocalityDistrictROC

Thane, Vashi, Nerul, CBD Belapur, AiroliThaneROC Mumbai-II (Navi Mumbai)
Kharghar, PanvelRaigadROC Mumbai-II (Navi Mumbai)

The district, not the “Mumbai” or “Navi Mumbai” label in the address, decides the ROC.

Leave and licence agreement

Most Mumbai offices are rented on leave and licence. Section 55 of the Maharashtra Rent Control Act, 1999 requires the agreement to be in writing and registered, and the landlord is responsible for registering it. Stamp duty under Article 36A of the Maharashtra Stamp Act is 0.25% of the total licence fee for the term plus any non-refundable deposit, with notional interest at 10% a year added on a refundable deposit. The agreement can be registered online through IGR Maharashtra’s e-registration service.

BMC trade licence

A plain office does not need a BMC trade licence. The licence under section 394 of the Mumbai Municipal Corporation Act covers the trades and storage listed in its Schedule M, such as eating houses and the storage of specified goods. The office still registers or files an intimation under the shops act, as set out above.
