Quick answer

Tamil Nadu’s stamp duty is low: ₹720 in total for a private limited company with up to ₹10 lakh of authorised capital, and MCA charges no incorporation fee up to ₹15 lakh. Chennai companies report to ROC Chennai; the western districts around Coimbatore have their own registrar. Our fee is ₹999 plus GST.

Registering a company in Chennai in 2026

Two things set Chennai apart. The tenancy: under Tamil Nadu’s 2017 tenancy law the office rent agreement is registered with the Rent Authority within 90 days, separately from any sub-registrar registration. And professional tax, which in Tamil Nadu is levied by the local body: Greater Chennai Corporation charges it half-yearly, up to ₹1,250 a half-year. The shops act applies only from ten workers, with six months to register, and the address proof is a TNPDCL bill.

Documents required

From each director or partner: PAN, Aadhaar (or a passport for a foreign national), a recent bank statement or utility bill as address proof, a photograph, and a mobile number and email.

For the Chennai registered office: a TNPDCL electricity bill (or a water or gas bill) not more than two months old, a no-objection certificate from the owner and, if the premises are rented, the tenancy agreement registered with the Rent Authority. A residential address in Chennai is acceptable.

The complete checklist is on the private limited company registration page.

GST registration in Tamil Nadu

Tamil Nadu’s GST state code is 33, the first two digits of every GSTIN registered there. A business with offices or warehouses in more than one state needs a separate registration in each. GST registration costs ₹299 all-in; there is no government fee.

Shops and establishments

Under the Tamil Nadu Shops and Establishments Act, 1947 as amended, registration is required only for establishments employing ten or more workers, within six months of starting. The application is online in Form Y with a fee of ₹100, and the certificate (Form Z) is issued within 24 hours or is deemed granted. Changes are intimated within 30 days. Our shops and establishments guide compares the states.

Professional tax

In Tamil Nadu professional tax is levied by the local body, not the state. In Chennai, Greater Chennai Corporation charges it half-yearly: the top rate is ₹1,250 a half-year (₹2,500 a year) on half-yearly income above ₹75,000. Companies register with the Corporation for a PTNAN number and deduct employees’ tax from salaries for August and January. See the professional tax guide.

State startup support

StartupTN, the Tamil Nadu Startup and Innovation Mission, runs the state startup policy; its TANSEED fund provides up to ₹10 lakh to early-stage startups. Central recognition is separate: see Startup India (DPIIT) registration.

Setting up your registered office in Chennai

Electricity bill as address proof

Electricity in Chennai is distributed by TNPDCL (Tamil Nadu Power Distribution Corporation), which took over distribution from TANGEDCO on 27 June 2024. The registered office proof must be not more than two months old, so a current bill will be in TNPDCL’s name.

Tenancy agreement and the Rent Authority

Tamil Nadu has its own tenancy law. Under the Tamil Nadu Regulation of Rights and Responsibilities of Landlords and Tenants Act, 2017, a tenancy agreement must be in writing and registered with the Rent Authority within 90 days of signing, online on the state tenancy portal. This is separate from registration with the sub-registrar under the Registration Act. Stamp duty on a lease of under 30 years is ₹1 for every ₹100 of the total rent, premium and advance (Article 35), and even an agreement of under 12 months has to be stamped.

Trade licence

Greater Chennai Corporation licenses the trades it lists. Whether an office needs a licence depends on the activity carried on there, so we check it for your business.
