Quick answer

Karnataka’s stamp duty is among the highest in India: ₹10,020 for a private limited company with up to ₹10 lakh of authorised capital, rising by ₹5,000 for each further ₹10 lakh. MCA charges no incorporation fee up to ₹15 lakh, and every Karnataka company reports to ROC Bangalore. Our fee is ₹999 plus GST.

Registering a company in Bengaluru in 2026

Because the stamp duty is the biggest local cost, it is worth fixing authorised capital at what you need rather than rounding it up: up to ₹10 lakh the duty stays at ₹10,020. The registered office is proved with a BESCOM bill, and a lease of more than a year must be registered. Once the office opens, it registers on e-Karmika under the Karnataka shops act within 30 days, whatever its headcount, and the company enrols for Karnataka professional tax.

Documents required

From each director or partner: PAN, Aadhaar (or a passport for a foreign national), a recent bank statement or utility bill as address proof, a photograph, and a mobile number and email.

For the Bengaluru registered office: a BESCOM electricity bill (or a water or gas bill) not more than two months old, a no-objection certificate from the owner and, if the premises are rented, the rent agreement. A residential address in Bengaluru is acceptable.

The complete checklist is on the private limited company registration page.

GST registration in Karnataka

Karnataka’s GST state code is 29, the first two digits of every GSTIN registered there. A business with offices or warehouses in more than one state needs a separate registration in each. GST registration costs ₹299 all-in; there is no government fee.

Shops and establishments

Under the Karnataka Shops and Commercial Establishments Act, 1961, every establishment in a notified area registers within 30 days of starting, whatever its headcount, online through e-Karmika. Since the 2026 amendment in force from 4 September 2026, registration is issued digitally, the Inspector has 7 days instead of 30 to act on an application, and registration stays valid until the business closes, with no periodic renewal. Our shops and establishments guide compares the states.

Professional tax

Karnataka levies professional tax: from 1 April 2025, ₹200 a month and ₹300 in February (₹2,500 a year) on salaries of ₹25,000 a month or more. The employer takes a Registration Certificate (RC) and the company an Enrolment Certificate (EC), free and online on the Karnataka professional tax portal. See the professional tax guide.

State startup support

The Karnataka Startup Cell, run by the Karnataka Innovation and Technology Society (KITS), registers startups for the state startup policy’s benefits. Central recognition is separate: see Startup India (DPIIT) registration.

Setting up your registered office in Bengaluru

Electricity bill as address proof

Bengaluru is supplied by BESCOM (Bangalore Electricity Supply Company), so the registered office proof is a BESCOM bill not more than two months old. Since ROC Bangalore covers the whole of Karnataka, an office in Whitefield, Electronic City or the city centre makes no difference to your ROC.

Office lease

A lease for a term of more than one year, or one reserving a yearly rent, must be registered under the Registration Act, 1908 at the sub-registrar office for the property. Under Article 30 of the Karnataka Stamp Act, a lease of more than one year and up to ten years attracts duty of ₹1 for every ₹100 of the average annual rent, premium and money advanced. A shorter agreement is optional to register but still has to be stamped.

Trade licence

The city corporation issues trade licences for the trades listed in its schedules. Whether an office needs one depends on what is carried on there, so we check the list against your business before you start.
